The specific services provided will be confirmed in our quotation, booking confirmation or other written agreement with you.
2. Quotations and Services
Any quotation we provide will be based on the information available to us at the time and will normally specify the service, fee and any relevant assumptions or exclusions.
A quotation does not constitute a binding contract until it has been accepted by you and we have confirmed the booking or instruction.
We reserve the right to amend or withdraw a quotation where information supplied to us is found to be inaccurate, incomplete or materially different from the circumstances identified when the quotation was prepared.
Additional work or visits that are outside the agreed scope may be subject to an additional charge. Where reasonably practicable, we will notify you before carrying out chargeable additional work.
3. Booking and Contract Formation
A contract is formed when you accept our quotation or otherwise instruct us to provide the agreed service and we confirm that instruction.
We may decline an instruction where we are unable to provide the service, do not have the appropriate accreditation or competence, or where the circumstances of the property or assessment fall outside our scope of work.
4. Fees and Payment
Our fees will be confirmed in the quotation or booking confirmation.
Unless otherwise agreed in writing, invoices are payable within 7 calendar days of the invoice date.
We reserve the right to withhold the release of non-regulatory reports or other deliverables where payment is overdue.
Where a statutory or regulatory certificate must be lodged or issued through an official system, this will be dealt with in accordance with the applicable requirements.
Additional costs may apply where:
A further site visit is required because reasonable access was not available;
The property or equipment differs materially from the information provided when the service was booked;
Additional work is requested by the client;
The agreed scope of work changes after the booking; or
We incur reasonable additional costs as a result of circumstances outside our control.
We will, where reasonably practicable, notify you of additional charges before they are incurred.
5. Client Responsibilities
The client is responsible for:
Providing accurate and complete information relevant to the service;
Providing reasonable and safe access to the property, rooms, equipment and relevant areas required to carry out the assessment;
Providing access to relevant documentation, records and equipment where required;
Informing us of any known hazards or access restrictions;
Ensuring that any person required to provide information or access is available where necessary; and
Responding promptly to reasonable requests for information.
Where information is supplied by the client or another third party and cannot reasonably be independently verified, we may rely upon that information when carrying out the assessment, where permitted by the applicable methodology or regulations.
We are not responsible for delays or additional costs resulting from inaccurate, incomplete or late information or from access not being available as agreed.
6. Site Access and Safety
We are entitled to refuse or stop work where we reasonably believe that conditions are unsafe or that carrying out the assessment would put our personnel or others at risk.
Where an appointment cannot be completed because reasonable access is unavailable or conditions are unsafe, a further visit may be chargeable.
The client must notify us in advance of any known hazards, restricted areas, dangerous equipment, asbestos risks or other circumstances that may affect safe access.
7. Service Delivery and Timescales
We will provide our services with reasonable skill and care and in accordance with any applicable professional standards, methodologies, accreditation requirements and legislation.
Any timescale provided for completion or delivery is an estimate unless expressly agreed otherwise in writing.
Our standard turnaround will normally be within 5 working days following completion of the assessment and receipt of any information required to complete the work, unless otherwise agreed.
Where a client requires an expedited service, we may offer an alternative timescale and additional fee where available.
We are not responsible for delays caused by circumstances outside our reasonable control, including unavailable access, delayed information, technical issues with regulatory lodgement systems, changes to regulations or methodology, or other circumstances beyond our control.
8. EPCs, DECs, TM44 Inspections and Regulatory Services
Energy assessments and certificates are carried out in accordance with the applicable legislation, government methodology, accreditation scheme requirements and professional standards in force at the time of the assessment.
Where a certificate or report is required to be lodged on an official register, we will complete the relevant lodgement where this forms part of the agreed service.
The outcome of an assessment cannot be guaranteed in advance. Energy ratings, recommendations, compliance outcomes and other results are determined by the relevant methodology and the information available at the time of assessment.
We cannot alter an assessment outcome solely to achieve a particular rating or result where doing so would not be supported by the applicable methodology or evidence.
9. Reports, Certificates and Corrections
Reports and other documents will be prepared based on the information available and the scope agreed at the time of instruction.
If you believe that a report or assessment contains an error, you should notify us as soon as reasonably practicable and provide details of the issue.
Where an error is attributable to our work, we will review the matter and, where appropriate, make a reasonable correction in accordance with the applicable methodology and accreditation requirements.
Where a requested change results from new information, a change in circumstances, or information that was not available at the original assessment, additional work or a further assessment may be required.
10. Cancellation and Rescheduling
If you need to cancel or rearrange an appointment, please provide as much notice as reasonably possible.
Where an appointment is cancelled or rearranged at short notice, or where we have already incurred reasonable costs in preparing for or travelling to the appointment, we reserve the right to charge a reasonable cancellation or wasted-visit fee.
The amount of any such charge will depend on the circumstances and any costs reasonably incurred.
Where we need to cancel or rearrange an appointment, we will provide as much notice as reasonably practicable and will work with you to arrange an alternative appointment.
Nothing in this section affects any statutory cancellation rights that may apply to consumers.
11. Complaints
We aim to provide a professional and reliable service.
If you are unhappy with any aspect of our service, please contact us as soon as possible so that we can investigate and attempt to resolve the matter.
Where a complaint relates to a regulated assessment or certificate, we will deal with it in accordance with the applicable accreditation scheme and regulatory requirements.
12. Liability
We will provide our services with reasonable skill and care.
Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
Subject to the above, we will not be liable for indirect or consequential loss, loss of profit, loss of business, loss of opportunity or other similar losses arising from our services.
Our total liability arising from a particular service will, to the extent permitted by law, be limited to the fees paid or payable by the client for that particular service.
We will not be responsible for losses arising from inaccurate, incomplete or misleading information supplied by the client or third parties, or from matters outside our reasonable control.
Nothing in these Terms & Conditions affects any rights or protections you may have under applicable consumer law.
13. Intellectual Property
Unless otherwise agreed in writing, intellectual property rights in our original templates, methodologies, working materials and other materials created independently by Shaw Energy Compliance remain our property.
The client may use reports, certificates and other deliverables provided as part of the agreed service for their intended business, regulatory or property-related purposes.
We retain the right to use general knowledge, experience, skills and methodologies developed during the provision of our services.
14. Confidentiality
We will treat information supplied to us by clients as confidential and will only use it for the purposes of providing the agreed services, administering our business, meeting legal or regulatory obligations, or where disclosure is otherwise permitted or required by law.
We may share information with relevant accreditation bodies, government departments, regulators, professional advisers, subcontractors or service providers where reasonably necessary to provide the service or comply with our obligations.
15. Data Protection and Privacy
We process personal information in accordance with applicable UK data protection legislation and our Privacy Policy.
Information provided to us will be used only for legitimate business, contractual, regulatory and administrative purposes.
Our Privacy Policy provides further information about how personal data is collected, used and protected.

Where consent is required for particular cookies or technologies, this will be obtained in accordance with applicable requirements.
18. Changes to These Terms
We may update these Terms & Conditions from time to time to reflect changes to our services, business practices, legislation or regulatory requirements.
The version applicable to a service will generally be the version in force when the contract for that service is formed, unless otherwise agreed or required by law.
